When You Need to Sell as Part of Your Business Strategy


Our client had identified that one of its business divisions was underperforming. It also did not fit with its long term strategic direction. Having determined it was time to sell, we acted for them throughout the process of selling the business to a private equity firm.
This involved:

  • managing the due diligence process
  • liaising with key stakeholders to gain the necessary consents to the transaction
  • working with the client’s bank to get existing loan and security arrangements discharged
  • most importantly negotiating the sale document with the purchaser.

The purchaser used a large national firm for the transaction and prepared an onerous sale agreement. However because of our experience we were able to negotiate a more balanced sale document that was appropriate for our client and acceptable to the purchaser.
